Investing in ColivingLiguria.

Property and hospitality, professional services, research and new ventures. Three activities with different timescales and risks, to understand alongside the equity structure.

We are not currently seeking equity investment · Proposals welcome for discussion · Updated 15 October 2026

Our current position

Value first, then equity.

We are not actively raising equity and have not set a current company valuation. We welcome proposals for discussion, but do not intend to accept equity investment before a valuation of at least €500,000 can be substantiated. Our main intention is to open the pathway at €1 million or above; more limited transactions, including property acquisition or expansion, may be considered case by case above the minimum threshold.

These thresholds refer to company value, not the amount a single investor must contribute: a small investment may also be considered. They express the founder’s intentions, not an established valuation, share price or offer terms; the valuation basis and transaction terms remain to be defined.

Public grants document development programmes and funding conditions. They do not equal company value or cash already received, and programmes for different beneficiaries remain separate.

The activity model

Three activities, different horizons.

The project combines property and coliving, professional activities and research. Select an area to understand what may create value, its risks and how it relates to the company.

Living

Spaces, use, continuity.

The property and coliving activity aims to build recurring cash flow through the use and management of spaces. This is an objective of the model, not an established or guaranteed yield.

Where value may come from
Property availability and use, management quality and sustainable costs.
Horizon
Property investment and ongoing management, with timescales tied to each project.
Risks to assess
Construction work and capital needs, vacant periods, maintenance and operating costs, demand and property liquidity.
Relationship to the company
Living describes an area of activity within the common company project. It does not, by itself, amount to a direct holding in a property or a separate company.
Explore Living

Diversifying activities does not guarantee lower risk and does not mean owning three separate holdings. This diagram assigns neither capital nor economic rights to the segments: resource allocation, rights and relationships between activities will depend on the updated articles and final investment documents.

Two dimensions of equity

Your economics. Your voice.

Economic exposure and decision-making power are separate questions. The filed framework describes voting Classes A/B/C and, on another axis, shares linked to Business, Living and Luna. A person’s rights depend on the combination actually defined in the instruments.

The intention is to retain this distinction in the review. Multipliers, classes, governance and the economic relationships between branches must be reconsidered and specified: the draft does not fix the terms of your investment.

Before investing

A pathway to build together.

  1. Understand the model

We discuss activities, horizon, contribution and risks. An initial conversation establishes mutual interest.

  2. Rework the articles

Before accepting the first investment, we intend to rewrite and verify the articles. Existing drafts require substantial review.

  3. Define the transaction

The vehicle, use of funds, valuation, class, rights, dilution and exit must be understandable and documented.

  4. Review and formalise

A specific transaction can only be agreed after due diligence, professional checks and the required instruments.
